This software is proprietary and confidential. It is NOT open source. The source code in this repository is made

available to authorised persons for evaluation, review and support purposes only. Any other use, reproduction,

modification or distribution requires a written licence from CERTICONS LLC.

IMPORTANT - READ CAREFULLY. This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single legal entity, "Licensee") and CERTICONS LLC ("CERTICONS") for the CertiHANA software product, which includes computer software, associated media, printed materials and online or electronic documentation (the "Software"). By installing, copying or otherwise using the Software you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. Grant Of License

Subject to the terms of this Agreement and payment of the applicable license fees, CERTICONS grants Licensee a non-exclusive, non-transferable license to install and use the Software on the number of server instances and for the number of managed SAP HANA systems covered by the license key issued by CERTICONS. License keys are bound to the hardware identity of the server on which the Software is installed. The Software provides no evaluation or trial mode; any evaluation use requires a license key issued under a written offer and is limited to the period and scope stated therein and to non-productive use.

2. Restrictions

Licensee shall not (a) copy the Software except for backup purposes, (b) modify, translate, reverse engineer, decompile or disassemble the Software except to the extent expressly permitted by applicable law, (c) rent, lease, lend, sublicense, distribute or otherwise transfer the Software or the license to any third party, (d) remove or alter any proprietary notices, (e) circumvent, disable or tamper with the license verification of the Software, or (f) use the Software to provide services to third parties without a separate written agreement with CERTICONS.

3. Ownership

The Software is licensed, not sold. CERTICONS and its licensors retain all right, title and interest, including all intellectual property rights, in and to the Software and all copies thereof. Third-party components distributed with the Software (including the SAP HANA client library, Python runtime and open-source libraries) are subject to their respective license terms, which are included in the installation directory.

4. Database Operations And Responsibility

The Software executes backup, recovery, housekeeping and administrative operations on SAP HANA database systems as configured and scheduled by Licensee. Licensee is solely responsible for (a) validating the configuration of all systems, policies and schedules, (b) verifying backups and performing test restores, (c) granting only the database and operating-system privileges required, and (d) complying with SAP's licensing and usage terms for the managed systems. CERTICONS does not guarantee the recoverability of any database.

5. Support And Updates

Support and software updates are provided in accordance with the support agreement in force between Licensee and CERTICONS. Updates provided under such agreement are subject to this Agreement unless accompanied by a separate license.

6. Confidentiality

The Software, its documentation and any license keys contain confidential information of CERTICONS. Licensee shall protect them with at least the same care as its own confidential information.

7. Limited Warranty

CERTICONS warrants that for a period of ninety (90) days from delivery the Software will perform substantially in accordance with its documentation when used on supported platforms. CERTICONS' sole obligation under this warranty is, at its option, to correct the non-conformity or to refund the license fee paid for the non-conforming Software. EXCEPT AS EXPRESSLY STATED, THE SOFTWARE IS PROVIDED "AS IS" AND CERTICONS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CERTICONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, LOSS OF PROFITS OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTICONS' TOTAL LIABILITY SHALL NOT EXCEED THE LICENSE FEES PAID BY LICENSEE FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Term And Termination

This Agreement is effective until terminated. It terminates automatically if Licensee fails to comply with any of its terms or when the license key expires without renewal. Upon termination Licensee must cease all use of the Software and destroy all copies.

10. Data Protection

The Software stores connection credentials for managed systems in encrypted form on the server on which it is installed and does not transmit configuration or database content to CERTICONS. Licensee is responsible for securing the server, its backups and the encryption master key.

11. Export Control

Licensee shall comply with all applicable export control laws and regulations.

12. General

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. This Agreement is governed by the laws applicable at the registered seat of CERTICONS LLC, excluding its conflict of law rules.
